5. Fees and Payment

• Fees: The fees for our services will be outlined in the Service Agreement. All fees are non-refundable unless otherwise agreed upon in writing.
• Payment Terms: Payments must be made according to the schedule outlined in the Service Agreement. Failure to make timely payments may result in the suspension or termination of services.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the engagement. This includes, but is not limited to, business plans, client data, technical specifications, and any other information marked as confidential.

7. Intellectual Property

• Ownership: All intellectual property rights related to the services provided by Cybervox Limited, including but not limited to software, designs, methodologies, and documentation, will remain the property of Cybervox Limited unless otherwise agreed in writing.
• License: Upon full payment of fees, Cybervox Limited may grant the client a non-exclusive, non-transferable license to use the deliverables for the purposes outlined in the Service Agreement.

8. Limitation of Liability

• No Warranty: Our services are provided “as is” without any warranties, express or implied. We do not guarantee that our services will be error-free or uninterrupted.
• Limitation of Liability: To the fullest extent permitted by law, Cybervox Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us for the services in question.

9. Indemnification

You agree to indemnify and hold harmless Cybervox Limited, its directors, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of our services or breach of these Terms.

10. Termination

• Termination by You: You may terminate the Service Agreement at any time by providing written notice to us. However, you will remain responsible for any fees due up to the date of termination.
• Termination by Us: We reserve the right to terminate the Service Agreement or suspend services if you breach any of these Terms or fail to make timely payments.

11. Governing Law

These Terms and the Service Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or by email. Your continued use of our services after such changes have been made constitutes your acceptance of the new Terms.
